blackEX Terms of Service

1. Acceptance of Terms

By accessing or using the blackEX platform, website, applications, or services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”), along with all applicable policies incorporated by reference. If you do not agree to these Terms, you may not access or use the Platform.

2. User Obligations

2.1 Accurate Information

Users must provide complete, accurate, and current information when creating an account or otherwise interacting with the Platform and must promptly update such information as necessary.

2.2 Account Security

Users are responsible for maintaining the confidentiality of their account credentials and for all activity that occurs under their account. Users must immediately notify blackEX of any unauthorized access or suspected security incident involving their account.

2.3 Authorized and Lawful Use

Users may access and use the Platform and its content solely in accordance with applicable licenses, contractual agreements, and all applicable federal, state, and local laws. Use of the Platform for unlawful, fraudulent, or unauthorized purposes is strictly prohibited.

3. Prohibited Activities

Users may not engage in any activity that compromises the security, integrity, availability, or lawful operation of the Platform, including but not limited to:

• Unauthorized reproduction, distribution, transmission, or exploitation of content
• Circumvention or interference with Digital Rights Management (DRM), encryption, watermarking, or access controls
• Uploading, transmitting, or distributing malicious software, malware, or unlawful content
• Attempting to gain unauthorized access to accounts, systems, or networks
• Interfering with or disrupting Platform services or infrastructure
   

4. Intellectual Property Rights

All content, software, trademarks, logos, and proprietary materials available on or through the Platform are owned by blackEX or its licensors and are protected by U.S. and international intellectual property laws. No rights are granted to users except as expressly permitted under these Terms.

5. Content Protection and Enforcement

blackEX employs industry-standard content protection measures, including DRM, encryption, and monitoring. Violations of content usage restrictions may result in immediate suspension or termination of access, notification to rights holders, and legal action.

6. Account Suspension and Termination

blackEX reserves the right, in its sole discretion, to suspend, restrict, or terminate a user’s account or access to the Platform at any time for violations of these Terms, related policies, applicable law, or contractual obligations. Termination may occur with or without prior notice, depending on the circumstances.

7. Disclaimer of Warranties

The Platform and all content and services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. blackEX does not warrant that the Platform will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the maximum extent permitted by law, blackEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of or inability to use the Platform, including loss of data, revenue, profits, or business opportunities. In no event shall blackEX’s total aggregate liability exceed the amount paid by the user to blackEX, if any, in the twelve (12) months preceding the claim.

9. Indemnification

Users agree to defend, indemnify, and hold harmless blackEX, its affiliates, officers, directors, employees, contractors, licensors, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from the user’s use of the Platform, violation of these Terms, violation of applicable law, or infringement of any third-party rights.

10. DMCA and Copyright Complaints

blackEX complies with the Digital Millennium Copyright Act (DMCA). Copyright infringement notices may be submitted to blackEX’s designated agent at legal@blackex.black and must include all information required under 17 U.S.C. §512.

11. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration conducted in the United States, except where prohibited by law. Users waive the right to participate in class actions or class-wide arbitration to the extent permitted by law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which blackEX is headquartered, without regard to conflict-of-law principles.

13. Force Majeure

blackEX shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, labor disputes, cyber incidents, or failures of utilities or telecommunications.

14. Modifications to Terms

blackEX reserves the right to update or modify these Terms at any time. Changes will become effective upon posting to the Platform. Continued use of the Platform constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
